MCA Extends DIR-3-KYC Filing Deadline without Fee to October 15, 2025

The Ministry of Corporate Affairs (MCA) has issued General Circular No. 04/2025 dated September 29, 2025, extending the deadline for filing the annual Directors’ KYC forms.

The due date for filing e-form DIR-3-KYC and web-form DIR-3-KYC-WEB (without payment of late fee) has been extended from September 30, 2025 to October 15, 2025.

This decision was taken by the Ministry after receiving suggestions from stakeholders seeking additional time for compliance.

 

Who is Required to File Directors’ KYC?

  • Every individual who has been allotted a Director Identification Number (DIN) on or before 31st March 2025 must file KYC.
  • It is mandatory for:
    • New Directors allotted DIN before 31st March.
    • Existing Directors who have already filed KYC in earlier years (annual re-confirmation required).

 

Forms Available for Filing

  • DIR-3-KYC (Form-based filing): For first-time KYC or when there is any change in personal details (address, mobile number, email, etc.).
  • DIR-3-KYC-WEB (Web-based verification): For directors who have already filed KYC in earlier years and have no changes in their details.

 

Due Date

  • Revised Due Date (without fee):15th October 2025.
  • After Due Date: A late filing fee of ₹5,000 will be levied.

 

Consequences of Non-Filing

  • DIN will be marked as “Deactivated due to non-filing of DIR-3-KYC”.
  • DIN cannot be used for any filing or approval in company-related matters.
  • Late filing will require payment of ₹5,000 fee to reactivate the DIN.

 

Why is DIR-3-KYC Important?

  • Ensures that the MCA database has updated and verified details of all directors.
  • Prevents misuse of DINs and enhances corporate governance & transparency.
  • Mandatory for continuing the validity of DIN and avoiding penalties.
